1. Introduction and Agreement

Welcome to BizX Digital (“Website”), owned and operated by Mukesh Nishad (“Company,” “we,” “us,” or “our”). These Terms and Conditions govern the provision and use of our web services, including web development, digital marketing, hosting, and consulting services (“Services”).

By accessing the Website, engaging our Services, or accepting a quote, you (“Client,” “User,” or “you”) agree to be bound by these Terms and Conditions.

2. Service Scope and Engagement

2.1 Project Agreement: The specific scope of work, project deliverables, timelines, and payment schedule will be defined in a separate Statement of Work (SOW) or Service Agreement, which shall be deemed incorporated into these Terms.
2.2 Client Responsibilities: The Client agrees to provide all necessary content, data, access, and approvals (e.g., login credentials, images, text) promptly to avoid project delays. Delays caused by the Client may result in extended timelines and revised costs.
2.3 Revisions: Projects include a specified number of revisions as outlined in the SOW. Additional revisions outside the agreed-upon scope will be billed separately.

3. Intellectual Property (IP) Rights

3.1 Client Content: The Client guarantees that all content (text, images, logos, trademarks) provided to us is owned by the Client or that the Client has the necessary license to use it. The Client indemnifies us against any claim arising from the infringement of third-party IP rights related to the content provided.
3.2 Service Deliverables: Upon full and final payment, the Client will own the finished website code, design files, or marketing collateral specifically created for them. We retain the right to use non-Client-specific intellectual property, including proprietary frameworks, tools, generic code, or non-unique templates, in future projects.
3.3 Portfolio Rights: The Client agrees that we may display the completed project in our portfolio and marketing materials unless a prior written non-disclosure agreement (NDA) is in place.

4. Fees, Payment, and Termination

4.1 Payment Terms: All fees are non-refundable except as explicitly outlined in our Refund Policy. Payments must adhere to the schedule defined in the SOW. Late payments may result in the suspension of Services or termination of the project.
4.2 Termination by Client: The Client may terminate the project at any time by providing written notice. In such cases, all payments made up to the date of termination are non-refundable, and the Client will be invoiced for any work completed beyond the last milestone payment.

5. Warranties and Limitation of Liability

5.1 Service Warranty: We warrant that the deliverables will conform to the specifications in the SOW for a period of 30 DAYS following launch. This warranty excludes issues caused by third-party hosting, browser updates, or client modifications.
5.2 Limitation: Our total liability to the Client for any and all claims arising out of the performance or non-performance of the Services shall not exceed the total amount paid by the Client to us for the specific service component giving rise to the claim. We shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, data, or business goodwill.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in INDIA.
